UG (haftungsbeschränkt): entrepreneurial company

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

The Unternehmergesellschaft (haftungsbeschränkt), or UG (haftungsbeschränkt), is a variant of the GmbH. It may be formed with nominal capital below the standard GmbH minimum.

Meaning and context

The complete legal form designation is required. Formation capital must be paid in full, and contributions in kind are excluded at formation. Low nominal capital alone does not reveal current business performance.

What the documents show

The law requires a reserve from part of annual profit after deducting a loss carried forward. Successful trading or accumulation of reserves does not automatically change the registered name to GmbH.
