GmbH: German limited liability company

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

A GmbH is a company with its own legal personality. Its assets generally answer for its liabilities. It is registered in section B of the German commercial register.

Meaning and context

The statutory minimum nominal capital is EUR25,000. That figure does not describe the company’s current bank balance or ability to pay debts. The entrepreneurial company, or UG, has special formation rules.

What the documents show

An extract records details including the name, seat, capital and representation. Managing directors represent the company. Share ownership is addressed by the separate shareholder list rather than inferred from the directors’ names.

Research tip

Review the extract and shareholder list separately. Historical questions may also require a chronological extract. A legal form designation alone does not replace checking the specific company.
