A GmbH shareholder list records shareholders and their shares. It is filed as a separate document with the commercial register and differs from the register extract.
What can you research?
The list contains information about shares and participation. Check the version and company it concerns. A managing director’s name in the extract does not, by itself, identify the shareholders.
Choosing documents
If your research concerns representation and ownership, an extract and shareholder list can answer different parts of the request. Record the date and document name for each separately.
Direct holdings and beneficial ownership
A shareholder may itself be a company. The list therefore does not automatically identify every ultimate natural-person owner. Management, direct ownership and beneficial ownership are separate questions. When holdings change, the date and version of the list also matter.
