Transparency register and beneficial owners

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

The transparency register records beneficial owners under Germany’s Money Laundering Act. It differs from the commercial register and a GmbH’s shareholder list.

Meaning and context

Under statutory criteria, beneficial owners are generally natural persons who ultimately own or control an entity. Research can therefore extend beyond a corporate direct shareholder.

What the documents show

A shareholder list records direct holdings and their allocation but does not automatically reveal every underlying control structure. A director’s name is not general evidence of beneficial ownership either. Statutory fallback rules also exist.

Research tip

Access to the transparency register has its own legal conditions and is not unrestricted for everyone. Establish the research purpose and distinguish direct ownership, authority to represent and beneficial ownership.
