How to find the shareholders of a German GmbH

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

Ownership and representation are different questions. A commercial register extract helps identify managing directors; the separately filed shareholder list is the key research document for a GmbH’s direct shareholders. Begin by confirming the exact legal entity.

Identify the correct GmbH

Match the registered name, office, court and HRB number. Group companies may differ by only one word. Decide whether you are researching an operating company or its holding company before collecting documents.

Select the shareholder list separately

The shareholder list is a filed document, distinct from the current register extract. It provides information about shareholders and their shares. Check which version you have and the date relevant to your research. An arbitrary older file is not sufficient when the recipient requests the latest available list.

Keep directors and shareholders separate

A managing director need not hold shares in the GmbH, and a shareholder need not be a managing director. Keep representation and ownership in separate research notes. Use the appropriate evidence for each question rather than inferring one role from a name listed in the other document.

Research corporate shareholders one level at a time

If another company is listed, you have identified a direct corporate shareholder. To trace a chain, identify that next entity and inspect its available records separately. A single document may not establish the natural persons at the end of the chain.

  • Record a unique register identifier for each entity.
  • Keep the source and document date for every level.
  • Leave unresolved links explicit and request further evidence.

Recognise the limits of the evidence

A shareholder list does not explain every contractual or economic influence over a company. Direct shareholders and ultimate beneficial owners are different categories. If an organisation requests ownership evidence, ask which documents it needs and resolve contradictory details before relying on the result.
