Authority to represent a GmbH

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

Authority to represent concerns who can act for a company. A GmbH’s managing directors are its statutory representatives.

Names alone are insufficient

Read the representation rules as well as the names. Where there are several managing directors, individual or joint representation matters. Shareholders and managing directors may be different people.

Keep the precise wording

Record the wording and document date. Assessing a particular contract also requires the circumstances of that transaction; an isolated name from a search result is insufficient.

Sole and joint representation

Sole representation generally allows the designated person to act independently. Joint representation requires the registered combination, for example two directors or a director and a procuration holder. An exemption from section 181 BGB is an additional rule and does not itself grant sole representation.
