Procuration (Prokura) and authorised signatory

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

Prokura is an expressly granted commercial power with a scope defined by law. Its holder, the Prokurist, does not thereby become a managing director or shareholder.

Meaning and context

It generally covers transactions associated with operating a commercial business. Selling or encumbering land requires special authority. Ordinary commercial authority, or Handlungsvollmacht, is distinct from Prokura.

What the documents show

The register may record sole or joint procuration. Joint procuration requires the cooperation described in the entry. A restriction to a branch may also matter under statutory conditions.

Research tip

Read the complete wording and subsequent changes. Registration records procuration, but its legal commencement does not depend solely on the entry date. An abbreviation in an email is not a substitute for that review.
