Branch establishment (Zweigniederlassung)

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

A branch forms part of its owner’s business. It differs from a subsidiary, which is a separate legal entity.

Meaning and context

An additional address or operating site is not automatically a registered branch. Specific registration rules apply to branches, with additional legal-form rules for foreign companies.

What the documents show

Register information may address both the main establishment or statutory seat and the branch. For foreign entities, distinguish the German branch record from the company’s foreign register entry.

Research tip

Establish the contracting entity: the company, a separate subsidiary or a company acting through its branch. Compare the full name, legal form, register details and representation rather than relying only on the local address.
