KG: limited commercial partnership

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

A Kommanditgesellschaft has at least one personally liable general partner, or Komplementär, and at least one limited partner, or Kommanditist, whose liability is limited under statutory rules.

Meaning and context

The KG is recorded in section A. The general partner’s liability position differs from that of a limited partner. In a GmbH & Co. KG, a GmbH occupies the position of a general partner.

What the documents show

A liability amount is registered for limited partners. It is not the current value of the business or a bank balance. Actual external liability also depends on statutory conditions and contributions made.

Research tip

Read partner status, liability amount and representation separately. A limited partner has no authority to represent merely by holding that status; a separately granted power is a different matter.
