Liquidation and dissolution

By the e-handelsregisterauszug.de editorial team · Published · Reviewed

Dissolution and deletion are different stages. A dissolved GmbH generally proceeds to winding up, unless insolvency proceedings or a statutory exception require another process.

Meaning and context

Liquidation involves completing ongoing business, collecting claims and addressing liabilities. The suffix i. L. means in liquidation. The company does not disappear from the register merely because dissolution is resolved.

What the documents show

Liquidators may replace the previous representatives. Check their appointment and authority in the register. Liquidation does not automatically mean that insolvency proceedings have opened.

Research tip

Read the specific entry and its date. An old director’s name cannot reliably establish current authority. Completion of winding up and deletion require separate attention.
